Labyrinte Interiors – General conditions.

Our Terms & Conditions are designed to make you aware of your, and our responsibilities along with the benefits and restrictions of our products and services.


Labyrinthe Interiors is a wholesale company offering handmade Furniture, lighting and home accessories exclusively to other professional companies. We do not deal with the public or any private customer. By placing an order with us you will be deemed to have read, understood and accepted these terms and conditions. By signing up for a trade account, you agree to our terms and conditions. The terms & conditions mentioned in this document are a valid and legally binding terms of business between Labyrinthe Interiors (Seller) and the valid

Trade Account Holder (Buyer) and doesn’t cover the end user (final customer / end user /

public). Labyrinthe Interiors reserves the right to change these terms and conditions from time to time without notice to you and the changes will take place on the day they are posted.

I) Acceptance of the trading account.

Any acceptance of the order depends entirely on the discretion of Labyrinthe Interiors and may depend on a variety of reasons including legitimacy of business, credit check, trading track record and the understanding of handmade products.

Labyrinthe Interiors is a strictly trade only supplier (Seller) and requires evidence of business trading before supplying any potential Buyer. If requested by Labyrinthe Interiors, you must provide us with documentary proof (i.e. VAT Certificate, Business invoices, etc.), as well as a fully completed trade application form.

Labyrinthe Interiors considered a merchant account as “open” when the account holder has made a minimum first time order of 800 euros excluding tax and shipping costs

Labyrinthe interiors reserves itself the right to change prices, dimensions and specifications without notice.

II) Order confirmation.

An order is considered as confirmed if and only if it’s partially or entirely paid.

That is to say that the receipt of a proforma invoice does not count as an order confirmation.

Payments must be made by bank transfer; we do not accept cheques. When making payment always refer to the client number and order or proforma invoice number.

III) Products.

Slight differences between the delivered products and those represented on the company’s website, on the exhibition grounds or in the catalogues may exist, since the products are handmade. As a result, the perfect homogeneity of the products cannot be perfectly ensured. These differences, since they do not relate to the essential characteristics of the products and do not affect their distinctive qualities, cannot justify a cancellation of the order or a refusal of delivery. The perfect representation of the products on our website or in the catalogues cannot be guaranteed, especially because of the differences in colour rendering by the different Internet browsers or by different visualization monitors, Labyrinthe Interiors cannot be held responsible for the relative inaccuracy of the photographs on the site.

IV) Product guaranty and insurance.

The dispositions herein cannot deprive the consumer of the legal guarantee that obliges the professional seller to guarantee the sold products against all consequences of latent defects. The consumer is expressly informed that Labyrinthe Interiors is not the manufacturer of all the products presented on the website and that Labyrinthe Interiors disclaims any liability for defective products. As a result, in the event of damage to a person or property by default of the product, only the responsibility of the manufacturer of it may be sought by the consumer.

V) Acceptance of an order.

The order is closed for the buyer once his order is confirmed (II). However we reserve the right to not confirm your order in case we are unable to obtain payment authorization, shipping restrictions apply to a given item, the ordered item is out of stock or does not comply with our quality control standards.

VI) Product prices.

The prices of all our products are indicated in euros and don’t include taxes. Those prices are guaranteed until the 1st of each month. The delivery of products is not included in the prices and is upon request.

VII) Delivery.

When an order is confirmed, the products are delivered, within a maximum period of 90 days, to the address indicated by the consumer when he places his order and only in the geographical areas that we serve, that’s to say within the European Union with the exception of Norway and Switzerland. Merchandise will be delivered packed on a pallet to the front door on the ground floor level. Goods are delivered under DAP terms (incoterms). We provide the possibility to all our customers to organise the pickup of the ordered goods at our warehouse, which find itself at the following address:

1) Transport prices.

Transport prices are upon request and depend not only on the total volume and weight of the order but also on the delivery area. In the following cases an additional surcharge will be billed:

• In case the delivery address is not accessible for an international truck (52.5 ft) a surcharge of 75 euros will be applied.

• In the case that the delivery address has been changed after the goods have been dispatched, 75 euros will be applied.

• In the case that you want us to deliver your end customer, a charge of 25 euros will be applied.

• In the case that the delivery address find itself in Norway or Switzerland, the customs charges will be charged to you (63.08 euros).

• Merchandise will be delivered packed on a pallet to the front door on the ground floor level. Additional unloading services can be provided at a surcharge Additional unloading services can be provided at a surcharge


VIII) Reception and claims.

All products leave our warehouse in perfect condition. The customer must report to the carrier (or factor) the slightest trace of shock (holes, traces of crushing, etc.) on the package, and if necessary to refuse the package. An identical new product will be returned to you at no cost.

The buyer must proceed, upon delivery and in front of the driver, to all necessary examinations to detect any damage, missing, defects or other apparent defects or nonconformity of the products delivered to his order. In particular, the buyer must check the condition of the packaging, the number of packages and the products in their quantities, their references, their condition and their characteristics. In case of complaint, the buyer must contact the services of the carrier of LABYRINTHE INTERIORS

Under inadmissibility of his request, the buyer must :

1. Note on delivery form the precise and reasoned reservations in case of damages or missing parts, the general reserves of the type “subject to unpacking” being insufficient,

2. To confirm its reserves for missing or damaged and to formulate its other reserves, by registered letter with acknowledgment of receipt to the customer service of LABYRINTHE INTERIORS or send an email to the customer service of Labyrinthe Interiors with the needed pictures.

3. Confirm its reserves for missing or damaged by registered letter with acknowledgment of receipt to the carrier, within 3 days, not including holidays, following the delivery date.

4. The buyer must send within the same time a copy of this claim to the teams of Labyrinthe Interiors.

5. The buyer must also be able to provide any justification as to the reality of the claims invoked and leave to Labyrinthe Interiors, its carriers or any person mandated by them, any facility to make their finding, l buyer to refrain from intervening or to involve a third party for this purpose.

Accepted claims will result in the exchange of the defective or non-compliant product, or its refund in case the product is temporarily or permanently unavailable. The returned product must be returned to the carriers of Labyrinthe Interiors in perfect condition, in its original packaging and provided with all its accessories. No spontaneous return, without the agreement of the Labyrinthe Interiors teams, will be accepted.

When a credit note is offered to our customers, it is valid for a period of 12 months. Once this deadline has passed, it cannot be claimed.


IX) Force Majeure.

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (Force Majeure Event). A Force Majeure Event includes any act, event, non-occurrence, omission or accident beyond our reasonable control and includes, in particular (without limitation), the following:

1. Strikes, lock-outs or other industrial action; Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;

2. Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;

3. Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;

4. Impossibility of the use of public or private telecommunications networks; or

5. Pandemic or epidemic.

Our obligations under these Terms are suspended for the period that the Force Majeure Event continues, and we will have an extension of time to perform these obligations for the duration of that period. We will take reasonable steps to bring the Force Majeure Event to a close or to find a solution by which our obligations under these Terms can be performed despite the Force Majeure Event.

X) Applicable law.

The contract made between the user and the other party is only governed by French law Disputes ensuing from this contract shall be adjudicated in accordance with the French law.
